The Committee on Foreign Investment in the United States (CFIUS) has authority to review certain investment transactions by foreign persons in U.S. businesses. Through sweeping legislative changes in 2018 through the Foreign Investment Risk Review Modernization Act, CFIUS’s jurisdiction expanded significantly and mandated filings with respect to certain covered transactions for the first time. Since that time, various changes have occurred with the CFIUS process and the U.S. Government has continued to use the process as a powerful tool in protecting U.S. national security. In September, President Biden issued an Executive Order on Ensuring Robust Consideration of Evolving National Security Risks by the Committee on Foreign Investment in the United States. This session will explore CFIUS’s jurisdiction and the procedures and process of filings with CFIUS. The session will also explore efforts by CFIUS’s Office of Monitoring & Enforcement with respect to “non-notified” transactions.
