Business Law Section Member Meeting on Proposed Amendments to the UCC

The WSBA Business Law Section UCC Committee has been asked to review and comment on the proposed amendments before the upcoming legislative session, and has scheduled a virtual meeting for Wednesday, Oct. 26, 2022 at noon to educate our members on the amendments, and to confirm our committee’s support. Stephen Keen, senior counsel in the Investment Management group of Perkins Coie LLP, will present on new Article 12 and the other proposed material amendments to the Uniform Commercial Code. Stephen’s presentation will cover the new definition of control and how, and to what extent, control of electronic records will protect purchasers and secured parties. His presentation also explains how the UCC incorporates this definition of control into existing provisions regarding intangible assets (e.g., electronic documents of title) and newly defined “electronic money,” and concludes with a brief summary of other material amendments to existing Articles. Following Stephen’s presentation, we will solicit feedback on the proposed amendments and discuss next steps for the completion of the WSBA Business Law Section UCC Committee’s review of the ULC/ALI proposed amendments.
Our meeting is open to all Business Law Section members and is free of charge.
