Transactional Committee
The Transactional Tax Committee seeks to provide a forum for discussion and education for lawyers practicing in the area of taxation of business transactions. Past committee meetings have covered tax issues in Workouts, Indopco Regs and Capitilization Rules, Contingent Consideration and Liabilities in Taxable Transactions, and Circular 230 Tax Opinion Standards.

Utilizing NOLs and other Losses: A Review of Recent Changes
Given the state of the economy, many taxpayers are faced with current year (or 2009) business and investment losses and are naturally curious about whether these losses can be utilized to generate tax refunds, or to limit tax going forward. Among the topics we will address are these: (1) How to plan for and apply the new 5-year NOL Carryback rules, which became effective in February 2009; (2) Recent guidance related to Section 382 limitations; and (3) Advising clients on how to claim (and document) a worthless stock deduction.
